Acceptanc:
- BFH Pro LLC (hereinafter “We” and/or “BFH Pro”) I hereby propose furnishing material and labor to complete in accordance with the above specifications. By signing this proposal, you hereby accept the outlined costs, prices, specifications, and conditions (the “Agreement”).
Timing:
- This proposal is valid for fifteen (15) days from the proposal date. However, the current supply chain/economic climate has created unusual and abrupt material cost increases. With that, this proposal may be withdrawn by BFH Pro if not accepted within five (5) days. All agreements are contingent upon availability, weather, permits, or delays beyond our control.
Payment Terms:
- Payment is to be made as follows:
- Small Jobs
- --- Projects under $1,500 will be paid net 15 upon compilation
- Large Job
- --- A payment of (50%) deposit upon contract signing, and the final payment of (50%) upon job completion. Final payment is due within (15) days of final invoice date. Any outstanding balance after this time is subject to a monthly penalty of 2%.
- --- BFH Pro reserves the right to reject or cancel all or parts of the Agreement due to the failure of the owner/customer to make progress payments as outlined.
- --- RETURNED or BOUNCED CHECK FEE COST IS $30.00.
- --- Any delays caused by material shortages, whether, permit holds or events outside the control of BFH Pro will not warrant customer withholding payment.
- --- Change Orders involving the purchase of back-ordered materials shall not affect the initial contract's payment schedule. A 4% processing fee applies to all payments made by credit card.
Collections and enforcement:
- Collections shall be handled by a third-party collections’ attorney or collection agency
- Customer agrees the property shall be collateral for all debts including
- Invoice amount
- Interest, fees, and charges
- Collection fees, attorney fees, court fees, filing fees
- Administrative fees
Quality of Work:
- All work is to be completed in a workman-like manner according to standard practices.
Unforeseen Conditions:
- Removal of existing material may expose unforeseen conditions affecting the project. In the event extra work is needed to safely propoced additional costs will be incurred such as:
- Time and Materials to complete work
- Subcontractors to complete specialized work
- Struchreal engineer/Architect/lawyer/or other specialist
- Additional permits or variances
Protection/Damage:
- We will always put wood under dumpsters in driveways but are not responsible for deformation or tire marks should they occur. Please do not seal coat driveways until after the project.
- We encourage owners/customers to remove and/or cover items in the work area to protect them.
Warranty:
- All warranties are void until final payment is received.
- BFH Pro liability under a warranty claim shall not exceed the total amount charged for the work contracted, except where such liability was the result of the company's negligence.
- Warranties will be voided if anyone other than BFH Pro modifies, disturbs and/or repairs the area/project.
- Materials –
- All material is guaranteed to be as specified. Any & All extra materials on the job site is the sole property of BFH Pro. Extra materials are ordered for mitigation of any unforeseen issues and circumstances. BFH Pro may also balk precious for multiple projects.
Change Orders:
- Any alteration or deviation from the proposed specifications, involving extra cost, will be executed only upon written and/or verbal orders and will be an extra charge over and above the costs proposed in this Agreement.
- Prices are subject to change if materials cost increases or are substantial enough to warrant passing the additional cost to the consumer.
Permits:
- Township permit(s) is an additional cost – not included in the proposal amount. The cost of obtaining a permit is dependent on the scope of the project as well as the locality. BFH Pro will obtain the permit and the cost of the permit will be included in your final invoice.
- Pets and children
- BFH Pro is not responsible for your pets or children.
- NO Pets or children shall be permitted in the work area. (This is for the safety of them and our workers)
Access to site:
- BFH Pro must have access to the work area and may need access to other areas of the property to complete work
- Delays caused by non-access will we be billed at the going hourly rate
- Parking
- Projects must have accessible parking to accommodate trucks and equipment.
- Fees and charges will apply if the sight is not accessible
- A trip charge will be applied if we arrive and can not access the site
Governing Law/Attorneys’ Fees:
- This Agreement shall be governed by the law of the Commonwealth of Pennsylvania. Any action or proceeding arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the courts of the Commonwealth of Pennsylvania.
- BFH Pro will be entitled to recover attorneys’ fees from you in the event an action or proceeding is initiated to enforce this Agreement.
Photographs/Video:
- BFH Pro reserves the right to take photos and/or video of the project and use said photos or videos for marketing, documenting and compliance purposes.
- BFH Pro maintains all rights to all photos, videos, and scans taken.
- Repair work-
- Repairs are not covered under warranty. Any work required after the initial project constitutes a new agreement and incurs additional costs/charges.
Historical and HOA Review:
- Historical properties oftentimes require additional requirements being met per the township or province. Additional oversight may be needed by the local historical commission and oftentimes permitting may have additional costs. This will be added to the original contracted amount at the end of the project upon invoice.
- Home-Owners-Associations oftentimes require additional requirements. Owner will:
- Provide name of HOA
- Contact person
- Contact phone number
- Contact email address
- Owner will be responsible fore all fees and expenses to obtain and comply with this groups
ADDITIONAL COMMENTS WE KINDLY ASK BUILDING OWNERS TO:
- - Provide electricity outside for our workers.
- - Notify us of anything which could be damaged or is I high value prior to start.
- **This must be done the day the project starts**
- - Remove any valuables from work area
ACCEPTANCE OF PROPOSAL
- By signing this Agreement, whether in written or electronic format, you hereby acknowledge that you have carefully read, understand and accept the terms and conditions thereof, including the costs and specifications. You hereby acknowledge and agree this Agreement constitutes the entire agreement of the parties and supersedes all other agreements or understanding between the parties. You hereby authorize BFH Pro to furnish all materials and perform all labor required to complete the work identified in this Agreement, including any elected upgrades. You hereby agree to pay the Proposal Amount and any additional cost(s) in accordance with Terms and Conditions of this Agreement, including but not limited to elected upgrades and unforeseen conditions. In the event any portion of the Agreement shall be declared invalid, unenforceable or void by a court of competent jurisdiction, the remaining portions of the Agreement shall remain in full force and effect.
